How to Launch an SPV in Sally: Step-by-Step Guide
Launching a Special Purpose Vehicle (SPV) in Sally allows investment organizers to configure their investment vehicle, establish investment terms, generate fund documents, and invite investors through a single software platform.
Sally is SPV software built by SPV operators, giving venture capital firms, angel groups, syndicators, family offices, and other investment organizers control over how they launch and manage their SPVs.
This guide walks through the process of launching a new SPV using Sally’s Fund Module.
Step 1: Create a New SPV
Log in to your Sally account and navigate to the Fund Module.
Click New Deal to begin creating your SPV.
Next, select the Organizer Profile you want to use for the transaction. If you have multiple Organizer Profiles, choose the one associated with the SPV you are launching.
Select the document package you want Sally to generate for the new SPV.
Step 2: Name and Customize Your SPV
Enter the legal name of your SPV.
Sally may automatically generate a proposed name, which you can keep or customize.
You can also assign a nickname to the SPV.
The legal name and nickname can be the same or different. For example, your SPV may have a formal legal entity name while using a more recognizable investment name, such as “SpaceX SPV-2.”
You can further customize the SPV by adding:
- Logo: Upload an image or logo associated with the investment.
- Description: Provide an overview of the investment opportunity.
- Promote: Link an existing Sally Promote page if you have already created one for the transaction.
These details help investors recognize and understand the investment when they access your SPV.
Step 3: Configure Your SPV Investment Terms
Next, enter the financial and investment details for the SPV.
Raise Amount
Enter the total amount you intend to raise through the SPV.
Minimum Investment
Specify the minimum investment amount required from each investor.
Carried Interest
Enter the carried interest percentage, if applicable.
This field can be left blank if your SPV does not charge carried interest.
Sally also supports tiered carry structures.
Estimated Close Date
Select the anticipated closing date for the SPV. This provides a projected timeline for the transaction.
Management Fee
If your SPV charges a management fee, enter the applicable fee information.
This field is optional.
Once you have entered the investment terms, click Continue.
Step 4: Generate and Review Your SPV Documents
Sally will automatically generate the SPV documents based on your selected document package and the information entered during setup.
Once the documents are generated, you can review them before approving the SPV.
You can also upload additional documents that you want to make available to investors.
After reviewing the documents, select the checkbox confirming:
“I’ve reviewed my documents, ready to approve.”
Then click Approve and Continue.
Your SPV is now created and ready for investors.
Step 5: Invite Investors to Your SPV
Once your SPV is launched, Sally provides two ways to invite investors.
Option 1: Send Email Invitations
Enter the email addresses of the investors you want to invite and click Send Invites.
Sally will send invitations directing investors to your SPV.
Option 2: Share Your SPV Link
Copy the SPV invitation link and share it directly with prospective investors through your preferred communication channel.
You do not need to invite every investor during the initial setup. The invitation functionality remains available within the SPV, allowing you to invite additional investors at any time.
Your SPV Is Ready for Investors
Your SPV has now been launched in Sally.
Your investment vehicle is active, your documents have been generated, and you can begin inviting investors to participate.
