Sally has a collaboration with a third party who will prepare 1065 partnership tax returns and the corresponding K1s for Level 0 – 4 tax returns 

Level 0 Annual PRICING: $100

Zero K1s. No activity from a prior year. No changes to investor information. Zero K1s are only available to SPVs that have file under Level 1 – 4 in a prior year.

Level 1 Annual PRICING: $250

All initial (first year) year SPV’s with or without capitalized organizational costs.

SPV that incurred expenses such as wire fees, bank fees, or legal fees.

SPV’s that hold non-LLC non-interest producing assets (Common Stock, Preferred Stock, SAFE, SAFT). The SPV does not receive a K-1 for any third party entity or group.

SPV’s that have only one state filing requirement (example: fund is located in Utah and does not have any investors in NY, NJ, GA or PA). NY, NJ, GA or PA have aggressive filing requirements

Level 2 Annual PRICING: $300

SPV’s that have more than one state filing requirement (example: fund is located in Utah and has residents in NY, NJ, GA or PA);

SPV’s where investors have transferred the entirety of their interest to another entity (membership transfer) or new investor (membership sale);

SPV’s that hold assets which are interest producing; ie. convertible note

SPV’s that have management fees paid by the SPV to the organizer

Level 3 Annual PRICING: $350

SPV’s where investors transferred only a portion of their interest to another entity (membership transfer) or new investor (membership sale);

SPV’s that have had a debt asset convert into an equity asset during the year (example: convertible note converts to preferred stock)

SPV’s that hold multiple assets

SPV’s where there are multiple closes within the initial (first) or subsequent years.

SPV’s where there are multiple closes adding new LP’s to the fund.

SPV’s which the management fee that requires specially allocations (side letters)

SPV that has been dissolved or filed for bankruptcy (no known distributions)

SPV that has had a IPO/ICO (crypto) without any current year distributions

SPV that has issued a return of investment to one or more of the LPs

Level 4 Annual PRICING: $700

SPV’s that have had any kind of distribution event, M&A activity, IPO with distributions, secondary sale, portfolio company wind down, etc.

SPV’s that will be receiving a 1099-Div or 1099- Int.

Level 5 PRICING: $Market Price

SPV’s that provide/require financial statements.

Funds that require GAAP to tax adjustments. Funds that have multiple state returns with income sourcing.

SPV’s with special allocations of income, expenses, or ownership percentages. The allocations are NOT pro-rata.

SPV had taxes prepared in the previous year(s) by a different firm.

SPV bank account was outside the Sally platform SPV’s that require a form 1099- B from broker sales (this is when the SPV has assets held with a broker

Level 6 PRICING: $Market Price

SPV’s that receive a K-1 or multiple K-1s due to investing into an LLC.

SPV’s that contain Real Estate Entities.

SPV’s that contain assets that are joint ventures.

Unique assets: Oil wells, farm land coop, diamonds, wine, NFT, etc.

ANY FOREIGN REPORTING other than basic K-2 and K-3 schedules
